For a monthly flat fee, the virtual general counsel will render the following services:
1.
Documentation -
preparation and review of contracts, agreements, deeds,
forms, written advice/legal opinions,
and demand letters
2. Consultations -
advice and legal opinions on laws and regulations
affecting the
client's business. consultations may be held at the client's office
3. Corporate secretarial services -
attendance
at board and stockholders' meetings
advice and counseling during said meetings
preparation and keeping of
minutes, resolutions and stock transfer books
issuance of stock certificates and documentation of stock transfer transactions
SEC compliance requirements
The following services are deemed special services and fall outside the
scope of the virtual general counsel agreement
a. transactions which require extensive negotiations, research and/or
documentation
b. dispute resolution, or cases before judicial, quasi-judicial, administrative bodies
